This Listing Agreement (“Agreement”) is a legally binding contract between Cedar Grove Ltd (“Cedar Grove”) and any individual or business entity (“Vendor”) that lists services on the Cedar Grove web application. By accepting this Agreement, the Vendor agrees to comply with the terms and conditions outlined herein.
a. Purpose
The purpose of this Agreement is to outline the terms and conditions for the Vendor to utilize the Cedar Grove web application for listing their services. These services may include, but are not limited to, the rental and booking of vehicles (cars, motorbikes, bicycles, tuk-tuks), boats (speedboats, dhows, yachts, and other water vessels), short-let accommodations (apartments, villas, beach houses), event listings (concerts, conferences, festivals), and tour services (guided tours, excursions, and travel packages). The Vendor acknowledges that Cedar Grove provides an online platform for listing and promotional purposes only.
b. Services Provided
Cedar Grove will provide the vendor with access to its web application, allowing them to list their services, receive bookings or inquiries from users, and manage transactions through the platform. The platform serves as a marketplace for service providers to reach potential customers efficiently.
c. Subscription Fee
The vendor agrees to pay the subscription fee as specified on the Cedar Grove platform at the time of registration. This fee grants access to the listing services for the duration of the paid subscription period and is payable in advance.
d. Term
This Agreement shall commence on the date the Listing Owner subscribes to a plan and shall remain in effect for the duration of the paid subscription period. Upon expiration of the subscription, the Agreement will automatically terminate unless the Listing Owner renews their subscription.
Cedar Grove reserves the right to modify, suspend, or discontinue any listing at its discretion if it violates platform policies, terms of service, or applicable laws. No refunds shall be provided for listings removed due to violations.Cedar Grove Listing Agreement
e. Vendor Responsibilities
The Vendor agrees to provide accurate, truthful, and up-to-date information regarding the services they list on the Cedar Grove platform. The Vendor is responsible for ensuring compliance with all applicable regulations, including but not limited to road safety standards (for vehicles), maritime laws (for boats), rental and hospitality regulations (for short-lets), event permits (for events), and tourism guidelines (for tours). The Vendor is solely responsible for managing bookings, handling customer inquiries, maintaining service quality, ensuring safety compliance, and resolving disputes. Cedar Grove shall not be responsible for any operational issues, damages, or legal claims arising from the Vendor’s listed services.
f. Termination
This Agreement will automatically terminate upon the expiration of the subscription period for which the Listing Owner has paid. If the Listing Owner wishes to continue the service, they must renew their subscription before its expiration.
Cedar Grove reserves the right to remove or suspend any listing without prior notice if it violates the platform’s policies, terms of service, or applicable laws. No refunds shall be issued for terminations due to violations.
g. Limitation of Liability
Cedar Grove acts solely as a listing and booking platform and does not own, manage, or oversee the services listed by Vendors. Cedar Grove shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to accidents, injuries, equipment failure, property damage, cancellations, legal disputes, financial losses, or service interruptions. The Vendor agrees to indemnify and hold Cedar Grove harmless from any claims, disputes, or liabilities related to their listed services.
h. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya.
i. Acceptance
By clicking “Accept” on the Vendor Regisration Page, the Vendor acknowledges and agrees to the terms and conditions outlined in this Agreement.
